1. Acceptance of Terms

By using the services provided by Pace Labs, you agree to the following terms and conditions. If you do not agree, please refrain from using our services.

2. Description of Service

Pace Labs offers a subscription-based no-code web development service, allowing clients to make unlimited requests for web app development, AI integration, and automation. Tasks will be processed sequentially and within the capacity specified by the chosen subscription tier. Processing times are subject to available resources and priorities set by the client. "Unlimited requests" means clients may submit as many tasks as they wish, but these will be processed one at a time based on priority and available capacity.

3. Subscription and Payment

Clients will be billed on a monthly basis at the start of each billing cycle, beginning on the subscription activation date. Subscriptions may be paused or canceled at any time; however, cancellations will only apply to future billing cycles. Refunds for partial months are not provided unless explicitly agreed upon in writing. Refunds for completed or ongoing work will not be provided unless otherwise agreed upon. All tasks completed and delivered as part of the subscription are considered non-refundable. By subscribing to our services, clients acknowledge that the work performed as part of their subscription is considered delivered and fulfilled once shared with the client through agreed-upon communication channels. 4. Client Responsibilities

Clients are responsible for providing clear and accurate information for their requests. Task requests must comply with all applicable intellectual property laws. Clients must own or have the right to use any materials or content provided for development tasks. Pace Labs is not responsible for delays or additional costs arising from inaccurate or incomplete client information. Tasks must be submitted through the designated task management software in the agreed-upon format. Pace Labs reserves the right to decline requests that violate applicable laws, ethical guidelines, or exceed the agreed project scope.

5. Delivery and Revisions

Pace Labs commits to delivering tasks in accordance with the timelines specified for each subscription tier. Tasks will be completed in the order of priority as determined by the client through the designated task management system or communicated via Slack. While revisions are unlimited, they must remain within the scope of the original task request. Any new or significantly altered requests may be treated as new tasks and prioritized accordingly. Pace Labs maintains detailed records of all client communications, task requests, and completed deliverables, including Slack messages, emails, and video recordings, to document the services provided. These records will serve as evidence of work performed and will be retained indefinitely to address disputes, protect our rights, or comply with legal obligations. Clients acknowledge and agree that these records may be used to resolve disputes regarding project completion or task delivery.

6. Termination

Pace Labs reserves the right to terminate services for any client who breaches these terms or engages in any activity that harms the reputation or operations of the company. In the event of termination, Pace Labs will provide the client with the most recent version of any incomplete tasks or deliverables created up to the date of termination. No further revisions or work will be performed after termination, and the client accepts the deliverables "as-is." No refunds will be issued for the remaining subscription period unless explicitly agreed upon in writing. By using our services, clients acknowledge that incomplete tasks or deliverables may not fully meet their expectations and will not be subject to further development post-termination.

7. Data Protection and Privacy

Client data will be handled with strict confidentiality and in compliance with applicable data protection laws, including GDPR and CCPA, if applicable. For more details, refer to our Privacy Policy.

8. Limitation of Liability

Pace Labs will not be liable for any indirect damages or losses incurred due to the use or inability to use our services. Pace Labs is not responsible for delays or disruptions caused by third-party tools, APIs, or hosting platforms.

9. Intellectual Property Rights

Upon full payment, intellectual property rights for completed deliverables will transfer to the client. Pace Labs retains the right to showcase completed projects in portfolios or marketing materials unless the client requests otherwise in writing.

10. Force Majeure

Pace Labs is not responsible for delays or failures in performance caused by events outside of its control, including but not limited to natural disasters, internet outages, or government actions.

11. Governing Law and Dispute Resolution

These terms are governed by the laws of Los Angeles, California, United States. Any disputes will first be resolved through mediation or arbitration in accordance with the rules of the American Arbitration Association, conducted in Los Angeles, California. The decision will be binding on both parties. If mediation or arbitration fails, disputes will be resolved in the courts of Los Angeles, California.

Clients agree that Pace Labs may present records of communications, task requests, and deliverables as evidence in resolving disputes.

12. Changes to Terms

Pace Labs reserves the right to modify these terms at any time. Clients will be notified of significant changes via email or website announcement.
